- The successful bidder shall comply with the following requirements throughout the term of the Land Lease Agreement. These requirements are conditions of the lease and are intended to ensure that agricultural activities remain compatible with the safe and efficient operation of the Douglas Municipal Gene Chambers Airport. 1. Permitted Use The property shall be used solely for the growing, cutting, baling, and removal of grass for hay. No other agricultural, commercial, storage, livestock, grazing, or other use shall be permitted without prior written authorization from the City of Douglas. 2. Agricultural Practices The successful bidder shall utilize good agricultural and land-management practices and shall conduct all activities in a manner that does not interfere with the operation, maintenance, safety, or development of the Douglas Municipal Gene Chambers Airport. 3. Airport Operations The successful bidder acknowledges that the property is located on an active public- use airport. Aviation safety and airport operations shall take precedence over agricultural activities at all times. Agricultural activities shall not interfere with aircraft operations, Airport maintenance, emergency response, construction, Airport lighting, navigational aids, weather or communications equipment, drainage facilities, utilities, or other Airport infrastructure. 4. FAA, GDOT, and Airport Requirements The successful bidder shall comply with all applicable Federal Aviation Administration (FAA) requirements, FAA Grant Assurances, Georgia Department of Transportation (GDOT) aviation requirements, the Airport's approved Airport Layout 2 Plan (ALP), applicable airport design and safety standards, City requirements, and instructions issued by the Airport Manager or other authorized City representative. Where two or more requirements apply, the most restrictive applicable requirement shall control. 5. Safety and Restricted Areas The successful bidder shall observe all applicable runway and taxiway safety areas, object free areas, approach and departure areas, navigational-aid critical areas, equipment protection areas, protected airspace, and other restricted areas established by the FAA, GDOT, City of Douglas, Airport Layout Plan, or applicable equipment specifications. These areas are established to keep equipment, vehicles, materials, and other objects a safe distance from aircraft operating areas and Airport equipment. Applicable restricted areas will be identified by the City and/or shown on Exhibit “A.” No agricultural activity shall be conducted within an area designated as restricted unless specifically authorized by the Airport Manager. 6. Airport Equipment and Required Clearances The successful bidder shall maintain all required horizontal and vertical clearances from Airport equipment and facilities, including, but not limited to: • runway and taxiway lighting; • navigational aids; • radio and communications equipment; • weather equipment; • signal buildings and Airport signage; • drainage structures and utilities; and • other existing or subsequently installed Airport equipment. Applicable restricted areas and required clearances shall be identified on Exhibit “A” and/or as directed by the Airport Manager. The successful bidder shall not be responsible for independently determining FAA or GDOT clearance distances; areas requiring special clearance will be identified by the City. No agricultural equipment, vehicle, hay bale, material, or other object shall be placed or operated in a manner that violates an applicable FAA or GDOT height or distance requirement, penetrates a protected aviation surface, interferes with Airport equipment, or otherwise creates a hazard to air navigation. 7. Height and Obstruction Restrictions The property is subject to applicable height and obstruction limitations established under 14 CFR Part 77, Safe, Efficient Use, and Preservation of the Navigable Airspace, and other applicable FAA and GDOT requirements. 3 Normal tractors, mowers, cutters, balers, loaders, trailers, trucks, and similar agricultural equipment may be used within areas approved for agricultural activity, provided such equipment does not interfere with aircraft operations, Airport equipment, or an area identified by the City as having a specific height restriction. No crane, raised boom, pole, antenna, above-ground irrigation equipment, temporary structure, stacked material, unusually tall equipment, or other elevated object shall be erected, operated, parked, or stored on the property without prior approval from the Airport Manager. No equipment, structure, hay bale, material, or other object shall be placed or operated at a height or location that penetrates an applicable protected aviation surface or otherwise creates a hazard to aircraft operations. Areas subject to specific height limitations shall be identified by the City and/or shown on Exhibit “A.” When there is uncertainty regarding whether equipment or an object may be operated or placed in a particular location, the successful bidder shall obtain approval from the Airport Manager before proceeding. 8. Agricultural Equipment Tractors, mowers, cutters, balers, loaders, trailers, trucks, and other agricultural equipment shall be operated only within areas authorized for agricultural activity. The successful bidder shall exercise caution when operating equipment near Airport lighting, navigational aids, signs, signal equipment, drainage structures, utilities, and other Airport facilities. The successful bidder shall be responsible for damage to Airport property or equipment resulting from its operations or the actions of its employees, agents, contractors, or invitees. 9. Hay Bale Placement and Removal Hay bales and harvested materials shall not be placed or stored within any runway or taxiway safety area, object free area, approach or departure area, navigational-aid critical area, Airport equipment protection area, or any other area identified by the City or shown on Exhibit “A” as restricted. All hay bales and harvested materials shall be removed from Airport property within fourteen (14) calendar days following baling unless otherwise directed by the Airport Manager. The Airport Manager may require the immediate relocation or removal of any hay bale, equipment, or material determined to interfere with Airport operations or create a safety, wildlife, fire, visibility, drainage, or other hazard. 10. Irrigation, Structures, and Improvements No above-ground watering or irrigation devices shall be permitted on the property. 4 No permanent or temporary structure, fence, pole, storage facility, irrigation system, electrical installation, sign, antenna, tower, or other improvement shall be constructed, installed, or placed on the property without prior written approval from the City and any required FAA or GDOT review or approval. No excavation, grading, filling, ditching, or other land-disturbing activity shall be conducted without prior written approval from the City. 11. Wildlife, Drainage, and Foreign Object Debris Agricultural operations shall be conducted in a manner that does not create or contribute to standing water, drainage obstructions, excessive erosion, excessive dust, smoke, wildlife attractants, fire hazards, foreign object debris (FOD), such as loose trash, wire, twine, plastic, equipment parts, or other materials that could create a hazard to aircraft, or other conditions that could adversely affect Airport operations. The successful bidder shall promptly remove debris, materials, or other objects resulting from agricultural operations that could constitute FOD or otherwise create a hazard to aircraft or Airport operations. 12. Access to Property Access to the leased property shall be limited to routes approved by the Airport Manager. The successful bidder and its employees, agents, contractors, and invitees shall comply with all Airport requirements regarding access and movement of vehicles and equipment. 13. Authority of Airport Manager The Airport Manager or other authorized City representative may direct the successful bidder to immediately cease agricultural operations or relocate personnel, vehicles, equipment, hay bales, or other materials when reasonably necessary for aircraft safety, Airport operations, emergency response, maintenance, inspection, construction, or regulatory compliance. The successful bidder shall comply immediately with such direction. 14. City's Right of Access The City reserves the right to enter any portion of the leased property at any time for Airport operations, inspections, maintenance, construction, drainage or utility work, installation or maintenance of Airport equipment, emergency response, FAA or GDOT projects, or other Airport purposes. 15. Airport Development and Changes to the Lease Area The successful bidder acknowledges that Airport facilities, equipment, safety areas, and operational requirements may change during the five-year lease term. 5 The City reserves the right to temporarily or permanently restrict agricultural activities on portions of the leased property when necessary for Airport development, construction, safety, maintenance, installation or replacement of Airport equipment, or compliance with FAA, GDOT, or other applicable requirements. The area designated as Area 3 (Temporary Agricultural Area), consisting of approximately 21.26 acres, may become unavailable during the lease term. The City reserves the right to remove this area from the Land Lease Agreement upon written notice to the lessee. In the event Area 3 is permanently removed from the lease, the annual lease amount shall be reduced by the annual rental amount specifically established for Area 3 in the accepted bid. Any rent paid in advance for the period following the effective date of removal shall be prorated and credited or refunded, as applicable. The removal of Area 3 shall not result in any increase, redistribution, or adjustment to the established annual rental amounts for Areas 1 and 2. Each area shall retain its independently established rental value throughout the lease term. The successful bidder shall not acquire any right under the lease that restricts or impairs the City's ability to operate, maintain, improve, or develop the Airport or comply with its obligations as an Airport owner or recipient of federal or state funding. 16. Damage and Liability The successful bidder shall be responsible for damage to Airport property, equipment, facilities, or infrastructure caused by its agricultural operations or by its employees, agents, contractors, vehicles, or equipment. Any damage to Airport lighting, navigational aids, signage, drainage facilities, utilities, fencing, or other Airport property shall be reported immediately to the Airport Manager. The successful bidder shall assume responsibility for personal injury and/or property damage arising from its operations and shall indemnify and hold harmless the City of Douglas as provided in the final Land Lease Agreement. 17. Insurance The successful bidder shall maintain all insurance required by the City of Douglas throughout the lease term and shall provide evidence of required coverage prior to execution of the Land Lease Agreement. Minimum Insurance Requirements: • General Liability: $1,000,000.00 • Automobile Liability: $1,000,000.00 6 • Other: 1,000,000.00 • City of Douglas must be listed as additional insured. 18. Compliance Throughout Lease Term The successful bidder shall comply with these requirements throughout the entire lease term and with any additional reasonable safety requirements established by the City or Airport Manager when necessary to maintain safe Airport operations or comply with applicable FAA, GDOT, federal, state, or local requirements. Failure to comply with these requirements may constitute a breach of the Land Lease Agreement and may result in termination of the lease.
